Extraordinary General Meeting (EGM) 2023During the 29th AGM on 24th September 2022, the issue of the Branch Property Ownership of the IEMNS building was discussed. Unfortunately, no final decision was made. Therefore, this matter was brought up in the Extraordinary General Meeting (EGM) that was held on 20th May 2023 to obtain a unanimous decision of all the members on the issue.
Ir. Chong Chee Yen presented to all members the proposal for the ownership transfer of the IEMNS building from IEM HQ to IEMNS. Members were informed that the cost related to the transfer ownership of the IEMNS building process shall be paid by IEMNS. He also explained the advantages and disadvantages of the ownership transfer. There were several issues were raised by members Ir. Khairiah Salleh (M12289), Ir. Ng Lip Khong (M02809) and Ir. Wong Kin Siak (M01680) and all the issues were well explained and elaborated by Ir. Chong Chee Yen and Ir. Dr. Oh Seong Por as follows;
1. Rental and monthly contribution to IEM HQ.
The full settlement was paid to IEM HQ on a soft loan for the IEMNS building. No rental or monthly contribution to the IEM HQ as the building is owned by the IEMNS and only ownership in “Tittle” under IEM HQ. However, all the activities will be managed by the IEMNS. The cost of property management, i.e. maintenance, utility bill, etc. are under the expenditure of IEMNS.
2. Selling the building in the future
Since the building owner is under the IEM HQ, then the process of selling the building should involve them. They should release or give consent to IEMNS for selling the building when IEMNS wants to sell its property in the future. Based on their letter dated 15 August 2022, IEM HQ encouraging IEMNS to own the property. It means that they agreed to transfer ownership and should be agreed even though IEMNS are not doing transfer ownership now. For members’ info, only the IEM Sabah and Sarawak branches want to own their properties, and other branches remain as they are.
3. Resolution outcome transfer ownership to IEM HQ
The IEMNS Committee will submit the resolution outcome to the IEM HQ. IEM HQ to assist IEMNS when we want to sell the building in the future and will not interfere with IEMNS activities and managing our building.
After discussing the transfer of ownership of the IEMNS building issue, the majority of the members present at the EGM agreed not to transfer ownership.
